Mental Health Services participated in an AUL group annuity contract sponsored by the Ohio Hospital Association. AUL sought and obtained approval of Mental Health Services to convert from Ohio Hospital Association contract to other contracts issued by AUL. Pursued ERISA fiduciary action alleging that AUL failed to disclose material information about the contract conversion, and to recover the profits that AUL received.
